Terms of Service

Overview

These Terms govern your access to and use of Cutform, a video repurposing platform that helps users turn long-form video into short-form social clips with captions, framing, editing, rendering, scheduling, and publishing tools.

By creating an account, accepting a workspace invitation, purchasing a subscription, uploading or importing content, connecting a social account, or otherwise using Cutform, you agree to these Terms. If you use Cutform for a company, client, brand, agency, or other organization, you represent that you have authority to bind that organization.

Accounts and Workspaces

You are responsible for keeping your account, email inbox, login links, devices, and connected accounts secure. You are responsible for all activity under your account and workspaces, including activity by invited users, contractors, employees, collaborators, and other people you authorize.

Workspace owners and admins may invite users, assign roles, manage projects, connect social accounts, publish posts, manage billing, and remove access. Cutform is not responsible for disputes between workspace members, agencies, clients, employers, contractors, or collaborators.

Plans, Billing, and Renewals

Cutform may offer free, trial, pilot, monthly, annual, usage-based, or paid subscription plans. Plan details, quotas, features, prices, renewal terms, and cancellation options will be shown at checkout, in the app, or on our pricing page.

Paid subscriptions renew automatically unless canceled before renewal. Fees are non-refundable except where required by law or expressly stated by Cutform. If payment fails, we may retry payment, restrict paid features, downgrade the workspace, suspend exports or publishing, or terminate the subscription.

User Content and Source Material

You retain ownership of the videos, audio, images, captions, transcripts, titles, metadata, social posts, logos, brand assets, files, URLs, and other materials you upload, import, create, generate, schedule, publish, or otherwise provide through Cutform.

You grant Cutform a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transcode, analyze, modify, display, render, export, transmit, publish, back up, cache, and otherwise use User Content as needed to provide, secure, support, improve, and operate the service.

You represent that you own or have all rights, licenses, permissions, releases, and consents needed for your User Content and for Cutform to process it. Cutform does not grant you rights to videos, music, images, voices, likenesses, brands, fonts, or other third-party materials you do not already have permission to use.

AI Features and Social Publishing

Cutform may use AI systems to generate clips, captions, transcripts, titles, descriptions, hashtags, framing choices, effects, recommendations, and other outputs. AI outputs may be inaccurate, incomplete, duplicative, unsuitable, infringing, or non-compliant with platform rules. You are responsible for reviewing all outputs before using, exporting, publishing, or relying on them.

When you connect a social account, you authorize Cutform to access, refresh, upload, schedule, publish, retrieve, and process information for that account as permitted by the scopes you approve. You are responsible for all content scheduled or published through connected accounts and for complying with each platform's terms, API policies, community standards, monetization rules, and advertising rules.

Acceptable Use

You must comply with our Acceptable Use Policy. You may not use Cutform to violate law, infringe third-party rights, upload content you lack rights to use, impersonate others, misrepresent endorsement, create spam or platform manipulation, distribute malware or phishing, process exploitative content involving minors, bypass security or billing controls, reverse engineer the service, or use the service to build a competing product.

We may remove content, restrict publishing, suspend accounts or workspaces, revoke access, preserve evidence, report abuse, or terminate service where we believe use of Cutform creates legal, security, operational, reputational, or platform risk.

Disclaimers and Liability

Cutform is provided as is and as available. We do not guarantee uninterrupted availability, rendering speed, export quality, storage duration, publishing success, platform compliance, monetization, engagement, follower growth, revenue, or business outcomes.

To the fullest extent permitted by law, Cutform will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-data, lost-content, social-account, platform-monetization, audience, reputation, or business-opportunity damages. Cutform's total liability for all claims will not exceed the greater of the amounts paid to Cutform for the affected workspace in the 12 months before the event giving rise to liability or USD $100.

Indemnity and Termination

You will defend, indemnify, and hold harmless Cutform and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your User Content, source videos, social accounts, published posts, violation of these Terms, violation of law or platform policy, infringement of third-party rights, workspace disputes, or misuse of AI outputs.

Either party may stop using or providing the service as described in these Terms. Termination does not affect payment obligations, disclaimers, liability limits, indemnities, intellectual property rights, dispute provisions, or other terms that by nature should survive.
